Acceptance of Terms By creating an account,

Logging in, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. WUW reserves the right to modify these Terms at any time. Changes will be effective upon posting, and your continued use of the Service constitutes acceptance of such changes.

Eligibility and Accounts

You must be at least 13 years old to use the Service. • You may create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. • WUW reserves the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity, at our sole discretion.

Services and Subscriptions

WUW offers digital marketing services, including Social Media Management, Website Management, Marketing Management, and the WUW Complete package, as detailed on our website (collectively, “Services”). Pricing and deliverables are subject to the plans you select, with discounts available for 3, 6, or 12-month commitments. • Subscriptions are billed monthly unless otherwise agreed. Payments are non-refundable except as required by law. A 50% deposit may be required for certain custom services, payable upfront. • We reserve the right to modify, discontinue, or limit access to any Service with notice, though we will strive to minimize disruption.

User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. • You are responsible for all content you upload or provide (“User Content”). User Content must not violate intellectual property rights, contain viruses, or include illegal, defamatory, or obscene material. • You grant WUW a non-exclusive, royalty-free license to use, display, and modify User Content solely to provide the Service.

Prohibited Activities You may not:

Engage in illegal activities, including but not limited to fraud, hacking, or distributing malware. • Use the Service to harass, threaten, or harm others. • Attempt to reverse-engineer, decompile, or interfere with the Service’s

functionality or security.

Resell, sublicense, or commercially exploit the Service without prior written consent from WUW. • Violate any third-party rights, including copyrights, trademarks, or privacy rights.

All content, trademarks, and materials provided by WUW (excluding User Content) are our property or licensed to us and protected by copyright and other laws. • You may not reproduce, distribute, or create derivative works from WUW materials without explicit permission.

Limitation of Liability

We do not guarantee uninterrupted or error-free performance. • To the fullest extent permitted by law, WUW shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including lost profits or data. • Our total liability under these Terms shall not exceed the amounts paid by you to WUW in the 12 months prior to the claim Indemnification You agree to indemnify and hold WUW, its affiliates, and employees harmless from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Service, or violation of any law.

Termination

WUW may terminate or suspend your access to the Service at any time for violation of these Terms or non-payment, with or without notice. • Upon termination, you lose access to your account and any associated data, though we may retain backups for a limited period as required by law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Quebec, Canada. Any disputes will be resolved through binding arbitration in Montreal, Quebec, under the rules of the Canadian Arbitration Association. • You agree to waive any right to a jury trial or class action lawsuit.

Miscellaneous

These Terms constitute the entire agreement between you and WUW, superseding prior agreements. • If any provision is deemed unenforceable, the remaining provisions remain in effect. • WUW’s failure to enforce any right does not waive that right. • You may not assign these Terms without our written consent. WUW may assign them at our discretion.
